(“BUYABLE”, “we”, “our” or “us”) on the collection, use and disclosure of the information of business entities and wholesale/retail customers on http://www.mybuyable.com (the “Site”) and the services, features, content or applications we offer (collectively with the Site, the “Services”). We receive information about you from various sources, including: (i) if you register for the Site and the Services, through your user account on the Services (your “Account”); (ii) your use of the Services generally; and (iii) from third party websites and services. When you use the Services, you are consenting to the collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction and other uses of your information as described in this Privacy Policy.
PRINCIPLES OF THE BUYABLE PRIVACY POLICY
BUYABLE does not rent or sell your Personal Information. We don’t share your Personal Information with anyone except to comply with the law, to provide a service you have requested, to protect our rights, or as provided in this Privacy Policy. We don’t store Personal Information on our servers unless required for the on-going operation of one of our Services.
WHAT THIS PRIVACY POLICY COVERS

ACCOUNT INFORMATION
BUYABLE collects Personal Information, such as your email address, when you create an Account with BUYABLE to use the Services. You acknowledge that this information may be personal to you, and by creating an account on the Services and providing Personal Information to us, you allow others, including us, to identify you and therefore may not be anonymous.
USER CONTENTSome features of the Services allow you to provide content to the Services, such as look books, orders, line sheets, budgets and figures. All content submitted by you to the Services may be retained by us indefinitely, even after you terminate your account, unless the content contains Personal Information, in which case you can request that the content be provided to you and/or deleted. We may continue to disclose such content to third parties in a manner that does not reveal Personal Information, as described in this Privacy Policy.
IP ADDRESS INFORMATION AND OTHER INFORMATION COLLECTED AUTOMATICALLY
BUYABLE receives and records information on our server logs from your browser, including your IP address, cookie, and the page you request in order to operate the Services. BUYABLE may use analytic tools or services to view collective statistics about the usage of the Services. Some of this information is derived from Personal Information. This statistical information is not Personal Information and cannot be tied back to you, your Account or your web browser. IP Addresses are automatically reported by your browser each time you view a web page. IP addresses may be used for various purposes, including: To diagnose or service technology problems reported by our users or engineers that are associated with the IP addresses controlled by a specific web company or ISP. To tailor advertising based on geographic area or other information derived from your IP address. Collective information derived from IP addresses may also be reported to advertisers. To estimate the total number of users visiting the Services from specific geographical regions.
COOKIES
A cookie is a small amount of data, which often includes an anonymous unique identifier, which is sent to your browser from a web site’s computers and stored on your computer’s hard drive. INFORMATION SHARING AND DISCLOSURE
When you access or use the Services, we collect, use, share, and otherwise process your personal information as described in this Privacy Policy. BUYABLE may be required to disclose Personal Information and/or non-personally identifiable information under special circumstances, such as to comply with state and federal laws (such as Australian Copyright Law), subpoenas, warrants, court orders or legal process or to establish or exercise our legal rights or defend against legal claims. It may be necessary to share information in order to investigate, prevent, or take action regarding suspected or actual illegal activities, including without limitation, fraud, situations involving potential threats to the physical safety of any person, violations of BUYABLE ‘s Terms Of Use, or as otherwise permitted or required by law. BUYABLE reserves the right to disclose Personal Information and/or non-personally-identifiable information that BUYABLE believes, in good faith, is appropriate or necessary to enforce our Terms, take precautions against liability, to investigate and defend itself against any third-party claims or allegations, to assist government enforcement agencies, to protect the security or integrity of our Site, and to protect the rights, property, or personal safety of BUYABLE, our users or others.We will transfer information about you if BUYABLE is acquired by or merged with another company. In this event, BUYABLE will notify you by email or by putting a prominent notice on the Site before information about you is transferred and becomes subject to a different privacy policy. In the event that BUYABLE is acquired by or merged with a third party entity, we reserve the right, in any of these circumstances, to transfer or assign the information we have collected from our users as part of such merger, acquisition, sale, or other change of control. In the unlikely event of our bankruptcy, insolvency, reorganisation, receivership, or assignment for the benefit of creditors, or the application of laws or equitable principles affecting creditors’ rights generally, we may not be able to control how your Personal Information is treated, transferred, or used. BUYABLE may share demographic information with business partners or the public, such as “53% of users who regularly use BUYABLE are fashion boutiques” or the like. No Personal Information will ever be used without your permission when sharing such demographic information (i.e. we will ask you for a quote or testimonial). BUYABLE may contract with various third parties who help us provide and maintain the Site or the Services (our “Agents”). We may need to share Personal Information with our Agents in order to provide products or services to you. Unless we tell you differently, our Agents do not have any right to use Personal Information or other information we share with them beyond what is necessary to assist us. You hereby consent to our sharing of Personal Information with our Agents. We will use commercially reasonable efforts to prevent such third parties from disclosing your Personal Information, except for the purposes of providing the services in question. We cannot, however, guarantee that such third parties will not disclose our Personal Information and will not be liable for any unauthorized use or disclosure by any third party.We limit access to Personal Information about you to employees who we believe reasonably need to come into contact with that information to provide products or services to you or in order to do their jobs.
EDITING AND CANCELLING YOUR ACCOUNT INFORMATION
You can cancel your subscription by emailing hello@mybuyable.com or through the Billing function on our Services, where you can update, extend, renew or cancel your subscription. However, please note that your identification and contact information may remain in BUYABLE’s records for some period. If you cancel your subscription, any association between your Account and information we store will no longer be accessible through your Account.
DATA SECURITY AND CHANGE OF CONTROL
Your Account information is password-protected. You need to prevent unauthorised access to your Account and Personal Information by selecting and protecting your password appropriately and limiting access to your computer and browser by signing off after you have finished accessing your Account. BUYABLE uses commercially reasonable physical, managerial, and technical safeguards to preserve the integrity and security of your Personal Information. We cannot, however, ensure or warrant the security of any information you transmit to BUYABLE and you do so at your own risk. Once we receive your transmission of information, BUYABLE makes commercially reasonable efforts to ensure the security of our systems. However, please note that this is not a guarantee that such information may not be accessed, disclosed, altered, or destroyed by breach of any of our physical, technical, or managerial safeguards. If BUYABLE learns of a security systems breach, then we may attempt to notify you electronically so that you can take appropriate protective steps. BUYABLE may post a notice on the Site if a security breach occurs. To receive a free written notice of a security breach (or to withdraw your consent from receiving electronic notice) you should notify us at hello@mybuyable.com with the appropriate request.
WHAT INFORMATION OF MINE CAN I ACCESS?
If you are a registered user, you can access information associated with your Account by logging into the Services. Registered and unregistered users can access and delete cookies through their web browser settings.
WHAT CHOICES DO I HAVE REGARDING MY INFORMATION?
You can always opt not to disclose certain information to us, even though it may be needed to take advantage of some of our features. You can delete your Account. Please note that we will need to verify that you have the authority to delete the Account, and activity generated prior to deletion will remain stored by us and may be publicly accessible.You can ask us to confirm whether or not your personal information is being processed and, if so, to provide you with access to the information and an explanation of the purposes of the processing, the categories of personal data concerned, the categories of recipients of the data, and the period for which the data are stored. ACCEPTANCE OF TERMS
The following Terms of Service Agreement (the “TOS”) is a legally binding agreement that shall govern the relationship with our users and others which may interact or interface with Buyable, and any subsidiaries or affiliates, in association with the use of the Buyable website (the “Site”) , and all related services offered by Buyable, whether provided through the Site, mobile application, web application, social media, or otherwise (collectively, the “Service”).
DESCRIPTION OF WEBSITE SERVICES OFFERED
Any and all visitors to our site, despite whether they are registered or not, shall be deemed as “users” of the herein contained Services provided for the purpose of this TOS. Once an individual registers for our Services, through the process of creating an account, the user shall then be considered a “member.”The user and/or member acknowledges and agrees that the Services provided and made available through our Websites are the sole property of Buyable. At its discretion, Buyable may offer additional website Services and/or products, or update, modify or revise any current content and Services, and this Agreement shall apply to any and all additional Services and/or products and any and all updated, modified or revised Services unless otherwise stipulated. Buyable does hereby reserve the right to cancel and cease offering any of the aforementioned Services and/or products. You, as the end user and/or member, acknowledge, accept and agree that Buyable shall not be held liable for any such updates, modifications, revisions, suspensions or discontinuance of any of our Services and/or products. Your continued use of the Services provided, after such implementation of any updates, changes, and/or modifications shall constitute your acceptance of such updates, changes and/or modifications, and as such, frequent review of this Agreement and any and all applicable terms and policies should be made by you to ensure you are aware of all terms and policies currently in effect. Should you not agree to the updated, modified, revised or modified terms, you must stop using the provided Services.Furthermore, the user and/or member understands, acknowledges and agrees that the Services offered shall be provided “AS IS” and as such Buyable shall not assume any responsibility or obligation for the loss of orders, figures, sales materials, system errors, incorrect information, deletion and/or any failure to store member content or communication such as notes, nor will they be held liable for any other member uploaded data stored within the Website.You understand and agree that your participation in using our website and/or becoming a member is wholly voluntary, and you are solely and personally responsible for your actions, choices, data uploaded to the Website and any results therein.
REGISTRATION
To register and become a “member” of the Site, you must be 18 years of age and have the legal capacity enter into and form a legally binding contract. In addition, you must be in good standing and not an individual that has been previously barred from receiving Buyable’s Services under the laws and regulations of the Australian Government or other applicable jurisdiction. Furthermore, the registering party hereby acknowledges, understands and agrees to:furnish factual, correct, current and complete information with regards to yourself as may be requested by the data registration process, and1. maintain and promptly update your registration and profile information in an effort to maintain accuracy and completeness at all times.If anyone knowingly provides any information of a false, untrue, inaccurate or incomplete nature, Buyable will have sufficient grounds and rights to suspend or terminate the member in violation of this aspect of the Agreement, and as such refuse any and all current or future use of Buyable’s Services, or any portion thereof.
PRIVACY POLICY
Every member’s registration data and other personally identifiable information is collected and protected according to the Buyable Online Privacy Policy which is also located on our website, http://www.mybuyable.com. As a member, you herein consent to the collection and use of the information provided, including the transfer of information within the United States and/or other countries for storage, processing or use by Buyable and/or our subsidiaries and affiliates.
MEMBER ACCOUNT, USERNAME, PASSWORD AND SECURITY
You shall be responsible for maintaining the secrecy and confidentiality of your password and for all activities that transpire on or within your account. It shall be your responsibility to notify Buyable immediately if you notice any unauthorized access or use of your account or password or any other breach of security. Buyable shall not be held liable for any loss and/or damage arising from any failure to comply with this term and/or condition of the TOS. You agree to be responsible for all actions arising from your account as a member.
CONDUCT
As a condition of use, You promise not to use the Services for any purpose that is prohibited by these Terms of Use. In short, this means that you are solely responsible for any and all content entered, uploaded, emailed, transmitted by way of Buyable Services, and as such, we do not guarantee the accuracy, integrity or quality, or compatibility of such content. It is expressly understood that by use of our Services, you may be exposed to content including, but not limited to, any errors or omissions in any data uploaded, and/or any loss or damage of any kind incurred as a result of the use of any content generated, transmitted or otherwise made available by Buyable.
INDEMNITY
All users and/or members herein agree to indemnify, defend, and hold harmless Buyable, our subsidiaries, affiliates, agents, employees, officers, partners and/or licensors for any claim, liability, cost, expense, or demand (which may include, but is not limited to, reasonable attorney fees) made by any third party, which may arise from any content or data a member or user of our site may submit, transmit or attain through our Services, the use of Buyable Services or your connection with these Services, your violations of the Terms of Service and/or your violation of any such rights of another person.
COMMERCIAL REUSE OF SERVICES
The member or user herein agrees not to replicate, duplicate, copy, trade, sell, resell nor exploit for any commercial reason any part, use of, or access to Buyable’s sites.
USE AND STORAGE GENERAL PRACTICES
You herein acknowledge that Buyable may set up any such practices and/or limits regarding the use of our Services, without limitation of the maximum number of days that any data or uploaded content shall be retained by Buyable, nor the maximum size of data available to upload by an account on our Service, or the maximum disk space allowable that shall be allocated on Buyable’s servers on the member’s behalf. In addition, you also agree that Buyable has absolutely no responsibility or liability for the loss of content, customer data or failure to maintain storage of any photos or other communications or content stored or transmitted by our Services. You also herein acknowledge that we reserve the right to delete or remove any account that is no longer active for an extended period of time. Furthermore, Buyable shall reserve the right to modify, alter and/or update these general practices and limits at our discretion. You also acknowledge the sole compatibility requirement for the storing, searching and analytical function requirements on Buyable, is PDF format files. You do not hold us liable for any issues that may arise for any content uploaded that is not in the compatible format.
SUBSCRIPTIONSSome Services and account types are available only on a subscription basis (the “Subscription”). By signing up for a Subscription through Buyable you agree to be billed the then-current amount at the scheduled interval, as indicated upon creation of the Subscription, for the duration of your contract. Inability to meet the required payments terms of your contract, may result in incurred interest.Subscriptions will automatically renew at the then-current rate, in accordance with the TERMINATION section of this TOS. Solo Steady and Multi – Up To 3 Stores subscriptions are contracted to an annual commitment cycle and Solo As You Go subscriptions are contracted to a monthly commitment cycle.
TERMINATION
As a member of Buyable, you may terminate your account on the Solo As You Go subscription (including your Subscription), and remove access to our Services by submitting a cancellation or termination request to hello@mybuyable.com or through the Billing function in the Services, where you can update, extend, reactivate or cancel your subscription. ANNUAL SUBSCRIPTIONS (SOLO STEADY, MULTI – UP TO 3 STORES), CANNOT BE TERMINATED WHILE IN DURATION AND YOU WILL CONTINUE TO BE BILLED FOR THE REMAINDER OF THE SUBSCRIPTION, WITH FULL ACCESS TO YOUR ACCOUNT UNTIL THE END OF THE SUBSCRIPTION PERIOD. Annual subscription cycles will renew automatically unless written notice of termination is received to Buyable prior to the next annual subscription cycle commencing. Termination requests can be sent to hello@mybuyable.com. Once your termination request has been processed, your subscription will not be renewed for an additional cycle and account access will cease after your current subscription cycle has been completed. As a member, you agree that Buyable may, without any prior written notice, immediately suspend, terminate, discontinue and/or limit your account, any email associated with your account, and access to any of our Services at any time and for any reason.Furthermore, you herein agree that any and all terminations, suspensions, discontinuances, and or limitations of access for cause shall be made at our sole discretion and that we shall not be liable to you or any other third party with regards to the termination of your account, associated email address and/or access to any of our Services.The termination of your account with Buyable shall include any and/or all of the following:the removal of any access to all or part of the Services offered within Buyable; the deletion of your password and any and all related information, files, and any such content that may be associated with or inside your account, or any part thereof; and the barring of any further use of all or part of our Services.
ADVERTISERS
Any correspondence or business dealings with, or the participation in any promotions of, advertisers located on or through our Services, which may include the payment and/or delivery of such related goods and/or Services, and any such other term, condition, warranty and/or representation associated with such dealings, are and shall be solely between you and any such advertiser. Moreover, you herein agree that Buyable shall not be held responsible or liable for any loss or damage of any nature or manner incurred as a direct result of any such dealings or as a result of the presence of such advertisers on our website.
PROPRIETARY RIGHTS
You do hereby acknowledge and agree that Buyable’s Services and any essential software that may be used in connection with our Services shall contain proprietary and confidential material that is protected by applicable intellectual property rights and other laws. Furthermore, you herein acknowledge and agree that any content, which may be contained in any advertisements or information, presented by and through our Services or by advertisers is protected by copyrights, trademarks, patents or other proprietary rights and laws. Therefore, except for that which is expressly permitted by applicable law or as authorized by Buyable or such applicable licensor, you agree not to alter, modify, lease, rent, loan, sell, distribute, transmit, broadcast, publicly perform and/or created any plagiaristic works which are based on Buyable Services (e.g. Business Intelligence or Software), in whole or part.Buyable herein has granted you personal, non-transferable and non-exclusive rights and/or license to make use of the object code or our Software for the use of simplifying your buying processes of your personal business, as long as you do not, and shall not, allow any third party to duplicate, alter, modify, create or plagiarize work from, reverse engineer, reverse assemble or otherwise make an attempt to locate or discern any source code, sell, assign, sublicense, grant a security interest in and/or otherwise transfer any such right in the Software. Furthermore, you do herein agree not to alter or change the Software in any manner, nature or form, and as such, not to use any modified versions of the Software, including and without limitation, for the purpose of obtaining unauthorized access to our Services. Lastly, you also agree not to access or attempt to access our Services through any means other than through the interface which is provided by Buyable for use in accessing our Services.
LIMITATION OF LIABILITY
